DescriptionPosition Description
The Corporate and Transactions Counsel provides legal advice and
support on a wide range of corporate, financial, and transactional
matters and supports corporate governance activities. The role is
highly cross-functional and cross-collaborative, working with
multiple stakeholders. Members of the legal team work in an
exciting, fast-paced, people-centered culture where their voice
makes a difference. The role reports to the Associate General
Counsel - Corporate and Securities but may also support other
lawyers on the legal team.
Position Accountabilities
- Provide legal advice and support for strategic and
non-strategic corporate and capital markets transactions including,
for example, transactions implementing various financial, cash
management, liquidity and capital strategies, such as issuance of
debt, capital raises, and stock repurchases; M&A; investments
in third parties; joint ventures; asset sales and purchases; and
intercompany transactions. Manage external law firms providing
legal advice, support and documentation for such
transactions.
- Draft, review, negotiate, and identify risk issues in a wide
range of agreements including, for example, term sheets,
non-disclosure and confidentiality agreements, licensing
agreements, purchase and sale agreements, and commercial contracts.
Manage transactions to a successful close, including coordinating
and conducting due diligence.
- Provide legal advice and support to business partners on
commercial contracts and other agreements with vendors, fintech and
financial services partners, and other third parties, including
master service agreements, technology agreements, licensing
agreements, payments arrangements, marketing agreements, SaaS,
requests for proposals (RFPs), and consulting agreements.
- Provide legal advice and support on corporate law and corporate
governance matters, including preparation of materials for meetings
of the board of directors and its committees; maintenance of
corporate records and minutes; entity formation; and subsidiary
management.
- Support the Associate General Counsel - Corporate and
Securities as directed on compliance with federal securities laws
and regulations, including the Securities Act of 1933 and
Securities Exchange Act of 1934, NYSE rules, and other rules
applicable to public companies. Conduct research and assist in
preparation of the Company's periodic reports and disclosures,
including 10-Ks, 10-Qs, 8-ks, earnings releases, proxy statements,
and Section 16 filings.
- Monitor developments in corporate laws and corporate governance
matters. Develop and implement policies, processes, and strategies
for compliance.
- Engage and oversee the quality and cost effectiveness of work
of legal counsel hired to represent the Company.
- Develop sound legal assessments, interpretations,
recommendations and opinions regarding the Company's legal rights
and obligations.
- Provide practical, actionable legal advice and support to
executive and senior management and other stakeholders on a wide
range of corporate, transactional, and corporate governance
matters.
- Lead discussions on complex topics with a wide range of
internal and external stakeholders.
- Establish and maintain effective professional relationships
with internal clients, colleagues, and stakeholders.
- Conduct sophisticated legal research using various sources and
methods.
- Perform a wide variety of tasks as assigned to help the Company
protect its business, commercial, and reputational interests. The
Position Accountabilities listed are not an exhaustive list of the
duties of this role.
- Experience in the financial services industry is appreciated
but not required.
- Experience in either (i) creditor's rights and commercial debt
collection or (ii) agreements with fintech providers is appreciated
but not required.
- Final title will be assigned depending on the experience and
structured responsibilities of the successful candidate.
Organizational Relationship
The Corporate and Transactions Counsel reports to the Associate
General Counsel - Corporate and Securities.
Position Qualifications
Education & Experience
- Minimum of 5 years of experience as a practicing attorney with
mix of relevant experience.
- Licensed attorney admitted to practice in Virginia, or able to
satisfy reciprocity or corporate counsel requirements for admission
into Virginia.
- Completion of course of study at a top 150 law school with
degree (J.D.)
- Completion of four years of college undergraduate study with
degree
